About these terms
These terms govern the use of this website and the engagement of Smartee for software design and development services. By commissioning work or using this site, you agree to them. A signed engagement letter or proposal, where one exists, takes precedence over anything on this page.
Our services
Smartee designs and builds web applications, marketing websites, eCommerce, blockchain and AI software. The exact scope, deliverables and timeline for any engagement are defined in a written proposal agreed between us before work begins.
Quotes, fees and payment
Quotes are based on the scope described at the time and are valid for the period stated in the proposal. Fees, payment schedule and currency (EUR unless stated otherwise) are set out in the proposal or engagement letter. Invoices are issued per the agreed schedule and are payable by the date shown on each invoice.
Intellectual property
Unless agreed otherwise in writing, ownership of the final, paid-for deliverables transfers to you on full payment. We retain ownership of our pre-existing tools, libraries and know-how, and may reference the work in our portfolio unless confidentiality has been agreed.
Confidentiality
We treat the information you share with us as confidential and use it only to deliver the work. We are happy to sign your NDA where required. We ask that you treat our proposals, estimates and methods with the same care.
Warranties and liability
We deliver our work with reasonable skill and care and will correct defects reported within the warranty period stated in the proposal. To the extent permitted by law, our total liability for any engagement is limited to the fees paid for that engagement. We are not liable for indirect or consequential losses.
Governing law
These terms and any engagement are governed by the laws of the Republic of Slovenia, and the courts of Slovenia have jurisdiction over any dispute. Nothing here limits any rights you have under mandatory consumer or commercial law.
